Terms of Service Effective September 5, 2026 · Last updated September 5, 2026 These Terms of Service (“Terms”) govern your access to and use of the websites, content, products, services, and communications programs offered by Cytokind, Inc. (“Cytokind,” “we,” “us,” or “our”), including cytokind.net and our SMS text messaging program (collectively, the “Service”). By accessing or using the Service, or by opting in to receive communications from us, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. 1. Eligibility You must be at least 18 years old and able to form a binding contract to use the Service, to purchase products, or to opt in to our SMS program. By using the Service you represent that you meet these requirements and that any mobile number you provide is a number you own or are authorized to enroll. 3. Medical Disclaimer and Prescription Requirement Cytokind does not provide medical advice, diagnosis, or treatment. All content on the Service — including descriptions of narrowband ultraviolet B (NB-UVB) phototherapy, research summaries, articles, testimonials, and FAQs — is provided for general informational and educational purposes only and is not a substitute for professional medical advice from a qualified care provider. Always consult your physician or other qualified health provider with any questions about a medical condition or before beginning, changing, or stopping any treatment. Never disregard or delay seeking professional medical advice because of something you read on the Service. If you think you may have a medical emergency, call your doctor or 911 immediately. The phototherapy devices described on the Service require a prescription from a licensed care provider. Cytokind does not prescribe, and no interaction with the Service, including a discovery call, creates a physician-patient relationship with Cytokind. Individual results vary; testimonials reflect individual experiences and are not a promise or guarantee of any particular outcome. 4. SMS Text Messaging Terms and Conditions These SMS Terms and Conditions apply to the Cytokind text messaging program (the “Program”) and form part of these Terms. Program sponsor Cytokind, Inc. Message types Care, onboarding, and appointment messages (discovery-call confirmations and reminders, onboarding steps, device setup guidance, treatment check-ins, support follow-ups); order and shipping notifications; account and security notices; and, for those who separately consent, educational and promotional messages. Message frequency Message frequency varies. Cost Message and data rates may apply. Cytokind does not charge for the Program. Cancel Reply STOP or UNSUBSCRIBE to any message. Privacy cytokind.net/privacy-policy 4.1 Consent By providing your mobile number and opting in, you consent to receive recurring automated text messages from Cytokind at that number, including messages sent using an automatic telephone dialing system. You may opt in by checking a clearly labeled, unchecked consent box next to your mobile number on a form on cytokind.net, by texting us first, by providing your number and consent verbally or in writing to a Cytokind representative during a call or onboarding conversation, or by replying to a confirmation message. Consent to receive marketing or promotional text messages is not a condition of purchasing any goods or services from Cytokind. Consent for promotional messages is obtained separately from consent for transactional and care-related messages, and you may consent to one without the other. You represent that you are the subscriber to, or the customary user of, the mobile number you provide, and that you will notify us promptly if that number is reassigned or you no longer wish to be reached at it. 4.2 Cancellation You may cancel at any time by replying STOP or UNSUBSCRIBE to any message. We will send a single confirmation message acknowledging your request, after which we will send no further Program messages to that number unless you opt in again. You may rejoin at any time by opting in again through any of the methods described above. Opting out of one message category may not opt you out of others; email adellicolli@cytokind.net if you want all messages to stop. 4.3 Help For help with the Program, reply HELP to any message or email adellicolli@cytokind.net. You can also write to Cytokind, Inc., 18 Forest Ring Drive, Intervale, NH 03845-0448. 4.4 Supported carriers and delivery The Program is available on most major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages. Message delivery depends on effective transmission by your wireless carrier and is not guaranteed. Cytokind is not responsible for any delay, failure, or misdelivery of messages caused by your carrier, your device, or factors outside our reasonable control. 4.5 Privacy of your mobile information No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties. Your mobile number is disclosed only to the messaging platforms that transmit messages on our behalf, strictly as service providers, solely for the purpose of delivering the messages you asked to receive. See our Privacy Policy for full details. 4.6 Not for emergencies or clinical urgency Do not use the Program to communicate a medical emergency or an urgent clinical concern. Messages are not monitored around the clock and may not receive a timely response. Call your care provider or 911 for anything urgent. 5. Email Communications If you subscribe to updates or provide your email address, you consent to receive email from Cytokind. You may unsubscribe from marketing email at any time using the link in any such message. We may continue to send transactional and Service-related email while you remain a customer. 6. Acceptable Use You agree not to: use the Service for any unlawful purpose or in violation of these Terms; submit false, misleading, or fraudulent information, including a mobile number you are not authorized to enroll; attempt to gain unauthorized access to the Service, our systems, or another user’s information; interfere with or disrupt the Service, including through scraping, automated data collection, denial-of-service activity, or the introduction of malicious code; reproduce, distribute, modify, or create derivative works from Service content except as expressly permitted; or use the Service to harass, abuse, or harm others. We may suspend or terminate your access to the Service at any time for conduct we reasonably believe violates these Terms or applicable law. 7. Intellectual Property The Service and all content on it — including text, graphics, logos, images, product names such as Phothera, research summaries, and software — are owned by Cytokind or its licensors and are protected by U.S. and international intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Service for your personal, non-commercial use. All rights not expressly granted are reserved. 8. Products, Orders, and Prescriptions Product descriptions, availability, and pricing are subject to change without notice. Orders for prescription devices are subject to receipt and verification of a valid prescription from a licensed care provider. We may refuse or cancel any order, including where a prescription cannot be verified or where we suspect fraud. Any warranty, return, and shipping terms provided with your order supplement these Terms. 9. User Submissions If you submit content to us — including form responses, testimonials, or feedback — you grant Cytokind a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content in connection with operating and promoting the Service, unless we agree otherwise in writing. You represent that you have the right to submit the content and that it does not infringe the rights of others. Do not submit information about another person without their permission. 10. Third-Party Links and Services The Service may link to third-party websites, articles, and services that we do not control. We provide those links for convenience and do not endorse or assume responsibility for their content, products, or practices. Your use of a third-party site is governed by that site’s own terms and privacy policy. 11. Disclaimers THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Cytokind does not warrant that the Service will be uninterrupted, secure, error-free, or that any content is accurate, complete, or current. Nothing in this section limits any warranty expressly provided with a product you purchase, or any right that cannot be disclaimed under applicable law. 12. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYTOKIND AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID CYTOKIND IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. 13. Indemnification You agree to indemnify and hold harmless Cytokind and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including any claim arising from your enrollment of a mobile number you were not authorized to enroll. 14. Governing Law and Disputes These Terms are governed by the laws of the State of New Hampshire, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in New Hampshire, and you consent to personal jurisdiction and venue there. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction. 15. Changes to These Terms We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where the changes are material, provide additional notice as appropriate. Your continued use of the Service after an update constitutes acceptance of the revised Terms. 16. Miscellaneous If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy and any order-specific terms, are the entire agreement between you and Cytokind regarding the Service. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. 17.
